1. ACCEPTANCE OF TERMS

By accessing or using this website, registering for or purchasing any products or services, enrolling in a membership, participating in consulting services, attending live or virtual events, or otherwise engaging with any offerings provided by Animated U INC. (“Company,” “we,” “our,” or “us”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and Purchase Agreement (“Terms”), as well as our Privacy Policy, which is incorporated herein by reference.

These Terms constitute a legally binding agreement between you and Animated U INC. governing your access to and use of our websites, programs, consulting services, membership communities, live events, digital products, and related services.

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the website and refrain from accessing or purchasing any services, products, or programs offered by Animated U INC.

By continuing to access the website or by purchasing or participating in any of our services, you represent and warrant that:

• you are at least eighteen (18) years of age;
• you have the legal authority to enter into this agreement; and
• you agree to comply with all applicable laws and regulations in connection with your use of the services.

Your continued use of the website or participation in any services following the posting of updates or modifications to these Terms constitutes your acceptance of such changes.

 

2. SERVICES OFFERED

Animated U INC. provides a variety of educational, advisory, and media-related services designed to support creative professionals and individuals working within or seeking to enter the animation and entertainment industries.

These services may include, but are not limited to:

• One-on-one consulting services
• Script review, creative development feedback, and advisory services
• Educational programs and workshops
• Membership community access and related benefits (which may be offered on a recurring subscription basis)
• Live events, symposiums, conferences, and networking experiences
• Digital products, recordings, and educational materials
• Podcast programming, interviews, and related media content
• Industry introductions or networking opportunities where appropriate
• Recommendations of third-party products, services, tools, or affiliates

Certain services may be provided directly by Animated U INC. or by guest instructors, speakers, consultants, or industry professionals invited to participate in programs, events, or membership offerings.

Animated U INC. reserves the right to modify, expand, limit, suspend, or discontinue any services, programs, membership benefits, speakers, or offerings at any time without prior notice.

Participation in any service or program does not create any employment relationship, partnership, agency, joint venture, or fiduciary relationship between you and Animated U INC., Rich Magallanes, or any participating instructors, speakers, partners, or affiliates.

All services are provided for educational and informational purposes only.

 

3. PAYMENT TERMS

All payments for services, events, memberships, consulting, or digital products are processed through authorized third-party payment processors including Kajabi, Stripe, or PayPal.

By submitting payment information, you authorize Animated U INC. to charge the applicable fees for the products or services purchased.

Membership subscriptions are billed on a recurring basis until canceled prior to the next billing cycle.

You agree not to initiate chargebacks or payment disputes without first contacting Animated U INC. to resolve the matter in good faith.

In the event of a chargeback or payment dispute, Animated U INC. reserves the right to suspend or terminate access to services and pursue recovery of fees and associated costs.

 

4. NO GUARANTEES

All services, programs, consulting, educational materials, events, and membership offerings provided by Animated U INC. are intended for informational, educational, and advisory purposes only.

While we may provide guidance, feedback, strategic insight, or professional perspective based on our experience in the animation and entertainment industries, we do not and cannot guarantee any specific results or outcomes.

Animated U INC., Rich Magallanes, and any guest speakers, instructors, or contributors make no representations or warranties regarding:

• income or financial success
• employment or job placement
• production deals, studio relationships, or industry representation
• investment returns
• career advancement
• project development or distribution
• creative or commercial success
• or any other professional or business outcome

The animation and entertainment industries are inherently competitive and unpredictable. Success depends on numerous factors outside the control of Animated U INC., including individual effort, market conditions, timing, professional relationships, creative execution, and business decisions.

Participation in our programs, consulting, membership community, live events, or educational materials does not create any guarantee of opportunity, employment, collaboration, or professional advancement.

By using our services, you acknowledge and agree that you are solely responsible for your own decisions, actions, and outcomes. Any strategies, suggestions, or feedback provided are intended to support your development, but the responsibility for how those ideas are interpreted, implemented, or applied rests entirely with you.

Animated U INC. encourages participants to take full ownership of their creative work, professional development, and business decisions. In alignment with this philosophy, you acknowledge that your results are ultimately determined by your own choices, actions, persistence, and professional conduct.

Accordingly, you agree that Animated U INC. and its representatives shall not be held liable for any business, financial, creative, or career decisions made by you based on information provided through our services.

 

5. CONSULTING DISCLAIMERS

Consulting services provided by Animated U INC. and Rich Magallanes are advisory and educational in nature and are intended to provide general creative feedback, professional perspective, and industry insight based on personal experience within the animation and entertainment industries.

Consulting may include, but is not limited to, script review, project feedback, development guidance, creative direction, career strategy discussions, and industry-related advisory services.

All consulting services are provided for informational and educational purposes only.

Participation in consulting services does not create any fiduciary duty, partnership, agency relationship, joint venture, employment relationship, representation agreement, or business obligation between you and Animated U INC., Rich Magallanes, or any affiliated parties.

Consulting services do not constitute legal advice, financial advice, investment advice, talent representation, or production commitments.

Animated U INC. makes no guarantees regarding the commercial success, production viability, marketability, or industry acceptance of any project discussed during consulting sessions.

You acknowledge that the entertainment industry frequently involves overlapping concepts, themes, characters, and story structures, and that similar ideas may be independently developed by other creators or companies.

Accordingly, you agree that Animated U INC. and Rich Magallanes shall be free to work on, develop, produce, consult on, or otherwise participate in projects that may be similar in concept, genre, theme, or format to ideas discussed during consulting sessions, provided that no confidential written materials provided by you are directly reproduced.

Unless otherwise agreed to in writing through a separate agreement, you retain ownership of your original intellectual property and creative work.

By participating in consulting services, you acknowledge and agree that all decisions regarding the development, production, marketing, financing, or distribution of your creative projects remain solely your responsibility.

Animated U INC and Rich Magallanes shall not be held liable for any business, creative, or financial outcomes resulting from the use or interpretation of consulting advice.

No Reliance Disclaimer

All educational materials, consulting advice, presentations, and discussions provided by Animated U INC. are intended for informational and educational purposes only.

You acknowledge that any decisions or actions taken based on such information are made at your own discretion and risk.

You agree not to rely on Animated U INC., Rich Magallanes, or guest speakers for legal, financial, investment, or business guarantees.

 

6. CREATIVE SUBMISSIONS AND SIMILARITY WAIVER

In connection with consulting services, membership discussions, events, or other interactions with Animated U INC., you may voluntarily share creative ideas, scripts, story concepts, characters, formats, or other intellectual property (“Creative Materials”).

You acknowledge that the animation and entertainment industries frequently involve independently developed concepts that may share similar themes, story elements, characters, formats, or ideas.

By voluntarily sharing Creative Materials with Animated U INC. or Rich Magallanes, you acknowledge and agree that Animated U INC., Rich Magallanes, and any affiliated partners, clients, or collaborators may currently be developing or may in the future develop projects that are similar in concept, theme, genre, characters, or format.

You agree that no confidential relationship is created through the sharing of such Creative Materials unless a separate written confidentiality agreement has been executed by both parties.

You further acknowledge that Animated U INC. and Rich Magallanes shall have the unrestricted right to work on, develop, consult on, produce, or participate in projects that may be similar to ideas discussed during consulting sessions, provided that no direct copying of your submitted written materials occurs.

Accordingly, you waive any claim against Animated U INC., Rich Magallanes, or their affiliates based on alleged similarities between your Creative Materials and any projects developed, produced, or consulted on by Animated U INC. or its partners, except where there is clear evidence of direct copying of protected written material.

You retain ownership of your original intellectual property unless otherwise agreed to in a separate written agreement.

 

7. IDEA SUBMISSION DISCLAIMER

Animated U INC. and Rich Magallanes do not accept unsolicited creative submissions including scripts, show concepts, story ideas, or intellectual property.

Participation in consulting, membership discussions, events, or community forums does not constitute submission of intellectual property to Animated U INC. or its affiliates.

You acknowledge that similar ideas may already exist or may be independently developed by Animated U INC., its partners, or other participants.

By sharing ideas in community discussions, events, or public forums, you agree that Animated U INC. shall not be liable for claims relating to similarity or alleged misappropriation of ideas.

 

8. MEMBERSHIP TERMS

Animated U INC. may offer access to a private membership community that includes educational programming, group discussions, masterclasses, networking opportunities, and other related benefits.

Membership is offered on a month-to-month subscription basis and will automatically renew at the end of each billing cycle unless canceled prior to the renewal date.

By enrolling in the membership, you authorize Animated U INC. or its payment processor to charge the applicable recurring membership fee to your selected payment method on a continuing basis until canceled.

You may cancel your membership at any time by submitting a cancellation request prior to your next billing date. Cancellation will stop future billing but will not result in refunds for any membership fees already charged for the current billing period.

Membership fees are non-refundable once a billing cycle has begun, regardless of participation level or usage of membership benefits.

Animated U INC. reserves the right to modify membership features, programming, guest speakers, or community offerings at any time in order to improve the membership experience.

Membership Participation & Community Standards

Members agree to maintain a respectful and professional environment within the community.

Members shall not engage in harassment, intimidation, abusive behavior, spam, solicitation, or any conduct that disrupts the community experience for other members.

Members also agree not to misappropriate, copy, exploit, or claim ownership of creative ideas, materials, or intellectual property shared by other members during membership discussions.

Animated U INC. does not monitor all member interactions and is not responsible for the conduct of individual members within the community.

However, Animated U INC. reserves the right, at its sole discretion, to suspend or terminate membership access for any member who violates community standards, disrupts the community environment, or engages in conduct deemed inappropriate or harmful to the community or its participants.

Termination of membership access under these circumstances may occur without refund.

Recording and Use of Content

Membership sessions, masterclasses, community calls, or other programming may be recorded.

By participating in membership activities, you acknowledge and agree that Animated U INC. may record, edit, and reuse audio, video, or excerpts from these sessions for purposes including:

• educational materials
• promotional content
• marketing materials
• future programming

Participants grant Animated U INC. the right to use recordings that may include their voice, likeness, or participation unless they notify the Company in writing prior to participation.

Membership Intellectual Property

All members retain ownership of their original intellectual property, including creative ideas, scripts, or projects shared within the membership community.

However, members acknowledge that Animated U INC. cannot guarantee the independent actions of other members and is not responsible for disputes arising between members regarding intellectual property or creative ideas shared within the community.

Members are encouraged to exercise discretion when sharing proprietary materials in a group setting.

Membership Philosophy

The Animated U Membership is designed to provide guidance, perspective, and community support for creative professionals. However, success in the animation and entertainment industries ultimately depends on the individual member’s actions, decisions, persistence, and professional conduct.

Members acknowledge that participation in the community does not guarantee employment, production opportunities, representation, or business outcomes.

 

9. LIVE EVENT TERMS

Animated U INC. may host in-person or virtual events including conferences, symposiums, workshops, networking events, or educational programming (collectively, “Events”).

By purchasing a ticket, registering for, or attending an Event, you acknowledge and agree to the following terms.

Event Participation

Participation in any Event is voluntary. By attending, you agree to comply with all event rules, venue policies, and instructions provided by Animated U INC. or event staff.

Animated U INC. reserves the right to refuse admission to or remove any attendee whose behavior is disruptive, inappropriate, unsafe, or otherwise inconsistent with the professional environment of the Event.

No refunds will be provided in cases where an attendee is removed from the Event due to violation of conduct policies.

All attendees must be eighteen (18) years of age or older unless otherwise explicitly stated.

Assumption of Risk

Attendees acknowledge that participation in live events involves certain inherent risks, including but not limited to travel-related risks, interactions with other attendees, and participation in public gatherings.

By attending an Event, you voluntarily assume all risks associated with your attendance and participation.

To the fullest extent permitted by law, you agree to release and hold harmless Animated U INC., Rich Magallanes, its employees, contractors, speakers, partners, sponsors, and affiliates from any claims, liabilities, damages, or expenses arising from your attendance or participation in the Event.

No Guaranteed Outcomes

Animated U INC. Events are designed to provide educational content, industry insights, and networking opportunities.

However, Animated U INC. does not guarantee any specific results from attending the Event, including but not limited to:

• employment opportunities
• production deals
• industry introductions
• representation by agents or managers
• financing opportunities
• creative collaborations
• career advancement

Attendees acknowledge that any professional opportunities that may arise are outside the control of Animated U INC.

Speaker LineUp & Schedule Changes

Animated U INC. makes reasonable efforts to present the advertised speakers and programming.

However, speaker schedules are subject to change due to circumstances beyond the Company’s control.

Animated U INC. reserves the right to substitute speakers, modify event programming, or adjust the schedule as necessary.

Such changes do not constitute grounds for a refund.

Event Recordings & Media Release

Events may be photographed, filmed, livestreamed, or otherwise recorded for promotional, educational, or commercial purposes.

By attending the Event, you grant Animated U INC. the irrevocable right to record, edit, reproduce, publish, and distribute audio, video, and photographic materials that may include your name, image, voice, or likeness.

These materials may be used for purposes including:

• podcast recordings
• social media content
• marketing and promotional materials
• educational products
• event recaps or recordings

You waive any right to compensation related to the use of such materials.

Refund Policy

Event tickets are non-refundable except under the specific conditions described below.

If an attendee is dissatisfied with the Event, a refund request may be submitted before the scheduled lunch break on the first day of the Event. Upon verification of the request, Animated U INC. may issue a full refund of the ticket purchase price.

Refund requests submitted after this time will not be honored.

Event Postponement or Cancellation

In the event that an Event must be postponed or rescheduled due to circumstances beyond the control of Animated U INC., including but not limited to venue issues, travel disruptions, health concerns, or other unforeseen events, attendees will be offered the option to:

• attend the rescheduled Event date, or
• receive a refund of the ticket purchase price

Animated U INC. shall not be responsible for travel costs, accommodations, or other expenses incurred by attendees.

Force Majeure

Animated U INC. shall not be liable for delays, changes, or cancellations caused by events beyond its reasonable control, including but not limited to natural disasters, acts of government, public health emergencies, labor disputes, travel restrictions, or technical failures.

Event Conduct

Animated U Events are intended to provide a professional environment for learning and collaboration.

Attendees agree to conduct themselves respectfully and refrain from harassment, aggressive solicitation, disruptive behavior, or any conduct that interferes with the experience of other participants.

Animated U INC. reserves the right to remove any attendee who violates these standards without refund.

Event Pitching and Solicitation Policy

Animated U Events are designed to provide educational programming, industry insights, and professional networking opportunities.

Attendees acknowledge that guest speakers, industry professionals, and invited participants are attending the Event to share knowledge and participate in discussions. Their presence does not constitute an invitation to receive unsolicited creative pitches, scripts, proposals, or business solicitations.

Accordingly, attendees agree that they will not approach speakers, panelists, sponsors, or event guests for the purpose of pitching creative projects, scripts, intellectual property, or business proposals unless such interaction occurs during a designated session or opportunity where pitching has been expressly invited by the speaker or event organizers.

Attendees also agree not to pressure, repeatedly contact, harass, or otherwise pursue speakers for professional opportunities during the Event.

Animated U INC. reserves the right to remove any attendee who violates this policy in order to maintain a professional and respectful environment for all participants.

  

10. MEDIA RELEASE

By attending events or participating in membership or live sessions:

You grant Animated U INC.:

• Perpetual
• Worldwide
• Royalty-free
• Transferable

Rights to record, edit, publish, distribute, and monetize audio/video featuring your likeness.

 

11. INTELLECTUAL PROPERTY

All website content, branding, course materials, and media are property of Animated U INC.

You may not reproduce or distribute materials without permission.

License for Digital Content

Purchase of digital products, event recordings, or membership access grants you a limited, non-transferable license for personal use only, contingent on the terms of the product.

You may not reproduce, distribute, sell, share, or publicly display any materials without written permission from Animated U INC.

 

12. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms shall first be submitted to good faith mediation conducted by a mutually agreed mediator in Los Angeles County, California.

If mediation does not resolve the dispute, the matter shall be resolved through binding arbitration in Los Angeles County, California in accordance with the rules of the American Arbitration Association.

You agree that disputes will not be resolved through court litigation or jury trial.

You further waive the right to participate in any class action or representative proceeding.

Waiver of Class Action & Jury Trials

To the fullest extent permitted by law, you and Animated U INC. agree that any dispute, claim, or controversy arising out of or relating to these Terms, the website, membership, consulting services, live events, digital products, or any other services provided by Animated U INC. shall be resolved solely on an individual basis.

You agree that you will not bring any claim as a plaintiff or class member in any purported class action, collective action, representative proceeding, or private attorney general action.

All disputes must be brought solely in your individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.

To the fullest extent permitted by law, both parties waive the right to a trial by jury in any dispute arising out of or relating to these Terms or the services provided by Animated U INC.

If any portion of this class action waiver is determined to be unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

 

13. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Animated U INC., Rich Magallanes, and their respective owners, officers, employees, contractors, affiliates, partners, speakers, instructors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your access to or use of the website, services, consulting, membership programs, digital products, media content, or live events.

This limitation applies regardless of the legal theory asserted, whether based on contract, tort (including negligence), strict liability, or otherwise, even if Animated U INC. has been advised of the possibility of such damages.

Without limiting the foregoing, Animated U INC. shall not be liable for damages including, but not limited to:

• lost profits or lost revenue
• loss of business opportunities
• loss of data
• loss of goodwill or reputation
• business interruption
• project failure or inability to secure financing or production
• missed professional opportunities

In no event shall the total aggregate liability of Animated U INC. and Rich Magallanes for any claim arising out of or relating to these Terms or the services provided exceed the total amount paid by you to Animated U INC. for the specific service, event, or product giving rise to the claim during the twelve (12) months preceding the event giving rise to the dispute.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you to the extent prohibited by law.

This limitation of liability shall apply to the fullest extent permitted by law and shall survive the termination of your use of the services.

 

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Animated U INC., Rich Magallanes, and their respective owners, officers, employees, contractors, speakers, instructors, affiliates, partners, sponsors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• your access to or use of the website, services, membership community, consulting sessions, or digital content
• your participation in live or virtual events
• any content, materials, or intellectual property you submit, share, or distribute through the services or community
• your violation of these Terms or any applicable law or regulation
• your infringement or alleged infringement of the intellectual property rights of any third party
• your interactions with other members, attendees, speakers, or participants
• any business, creative, or financial decisions made by you based on information provided through the services

Animated U INC. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with the Company in asserting any available defenses.

This indemnification obligation shall survive the termination of your use of the services or participation in any programs, memberships, or events

 

15. AFFILIATE DISCLOSURE

We may earn commissions from affiliate links. Such relationships will be disclosed where applicable.

 

16. NON-DISPARAGEMENT

You agree not to make statements that are knowingly false, defamatory, or malicious toward Animated U INC., Rich Magallanes, its partners, speakers, members, or affiliates.

Concerns regarding services should be addressed directly with Animated U INC. so they may be reviewed and addressed in good faith.

 

17. GOVERNING LAW

These Terms are governed by the laws of the State of California.

Any disputes shall be resolved through binding arbitration in Los Angeles County, California.

You waive participation in class actions.

 

18. MODIFICATIONS

We reserve the right to update these Terms at any time.
